These Terms of Service ("Terms") govern your access to and use of the services provided by Planisphere, Inc. ("Planisphere," "we," "our," or "us"), including our website, applications, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services.

By using the Services, you represent and warrant that:

• You are at least 18 years old;
• You have the legal authority to enter into these Terms; and
• You will comply with these Terms and all applicable laws.

If you are using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have authority to bind that organization.

2. The Services

Planisphere provides software that allows users to upload, store, analyze, and process emails, documents, and related financial and business information.

The Services may include automated processing, including analysis performed using machine learning and artificial intelligence systems, to provide functionality and insights.

You acknowledge and agree that automated systems may analyze uploaded data solely for the purpose of providing and improving the Services.

Planisphere may modify, update, or improve the Services at any time.

3. Accounts

To use certain features of the Services, you must create an account.

You agree to:

• Provide accurate and complete information;
• Maintain the security of your account credentials;
• Promptly notify us of any unauthorized use of your account; and
• Be responsible for all activity under your account.

You are responsible for maintaining the confidentiality of your login credentials.

4. Fees and Payment

Some features of the Services require payment.

If you purchase a paid subscription:

• You agree to pay all applicable fees;
• Fees are billed in advance unless otherwise stated;
• Fees are non-refundable except as required by law; and
• We may change pricing with reasonable notice.

Free trials may be offered at our discretion. We may modify or terminate free trials at any time.

5. User Data and Ownership

You retain all ownership rights in the data, documents, emails, and other content you upload, submit, or provide to the Services ("User Data").

By using the Services, you grant Planisphere a limited, worldwide, non-exclusive, royalty-free license to use, process, store, reproduce, and analyze User Data solely to:

• Provide and operate the Services;
• Improve and maintain the Services;
• Ensure security and reliability of the Services; and
• Comply with legal obligations.

Planisphere does not sell your User Data.

We do not claim ownership of your User Data.

6. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes;
• Attempt to gain unauthorized access to the Services or other users' data;
• Interfere with or disrupt the Services;
• Reverse engineer or attempt to extract source code;
• Use the Services to transmit harmful, abusive, or malicious content;
• Use the Services in a manner that could harm Planisphere or other users.

We reserve the right to suspend or terminate accounts that violate these Terms.

7. Sensitive and Financial Information

The Services may allow you to upload financial, business, or other sensitive information.

You are responsible for ensuring that you have the legal right to upload and use such information.

Planisphere does not provide financial, legal, or investment advice.

Any outputs or analysis generated by the Services are provided for informational purposes only.

8. Service Availability

The Services are provided on an "as is" and "as available" basis.

Planisphere does not guarantee uninterrupted or error-free operation of the Services.

We may suspend or restrict access to the Services at any time for maintenance, security, or operational reasons.

9. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services at any time, with or without notice, if:

• You violate these Terms;
• Your use poses a security risk;
• Your use may harm Planisphere or other users; or
• We discontinue the Services.

Upon termination, your right to use the Services will immediately cease.

10. Intellectual Property

The Services, including all software, design, text, graphics, and functionality, are owned by Planisphere and protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

Planisphere retains all rights not expressly granted in these Terms.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PLANISPHERE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PLANISPHERE DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANISPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. PLANISPHERE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PLANISPHERE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. IF YOU USE THE SERVICES WITHOUT PAYMENT, PLANISPHERE'S LIABILITY SHALL NOT EXCEED $100.

13. Indemnification

You agree to indemnify and hold harmless Planisphere and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Services;
• Your User Data; or
• Your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Delaware.

You consent to the jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will update the "Last Updated" date.

Your continued use of the Services constitutes acceptance of the updated Terms.
